Terms of Use

1.1 These Service Provider Terms of Use (“Terms”) constitute a binding legal agreement between you (“Service Provider,” “you,” “your”) and PinaSakay MegaApp (“PinaSakay,” “we,” “us,” “our”).

1.2 By registering, accessing, or using the PinaSakay MegaApp as a Service Provider, you agree to be bound by these Terms, our Privacy Policy, and any applicable policies, guidelines, or rules issued by PinaSakay.

1.3 If you do not agree to these Terms, you must not register or use the PinaSakay MegaApp as a Service Provider.

1.4 PinaSakay reserves the right to amend these Terms at any time, with notice provided via email, in-app notification, or posting on our platform. Continued use of the app after such changes constitutes your acceptance.

2.1 You acknowledge and agree that:

• 2.1.1 You are an independent contractor, not an employee, partner, or agent of PinaSakay.
• 2.1.2 Nothing in these Terms creates an employment relationship, joint venture, or partnership.
• 2.1.3 You are solely responsible for payment of your own taxes, permits, insurance, and other regulatory compliance.

2.2 PinaSakay provides only the technology platform that connects you to customers; we are not the provider of the services you perform.

3.1 To register as a Service Provider, you must:

• 3.1.1 Be at least 18 years old and legally capable of entering into contracts under Philippine law.
• 3.1.2 Provide accurate and truthful information during registration.
• 3.1.3 Submit valid government-issued IDs and other documents required for your service category.
• 3.1.4 Pass all verification, background checks, and compliance assessments required by PinaSakay.

3.2 You must promptly update your account details if there are changes to your personal, business, or compliance information.

4.1 You agree to:

• 4.1.1 Provide services in a safe, lawful, professional, and courteous manner.
• 4.1.2 Comply with all applicable Philippine laws, local ordinances, and industry-specific regulations.
• 4.1.3 Maintain all required licenses, permits, and insurance coverage.
• 4.1.4 Follow all operational guidelines issued by PinaSakay.

4.2 Prohibited Conduct:

• 4.2.1 Misrepresentation of services or qualifications.
• 4.2.2 Fraudulent activities, including falsifying documents or customer information.
• 4.2.3 Offensive, abusive, or discriminatory behavior.
• 4.2.4 Use of unsafe, unregistered, or poorly maintained vehicles or equipment.
• 4.2.5 Accepting bookings outside the PinaSakay platform for customers introduced through the app.

5.1 PinaSakay will collect a commission fee from each completed transaction, as specified in the Service Provider dashboard or applicable policy.

5.2 Payments for services may be made directly by the customer or processed through PinaSakay’s payment facilities where applicable.

5.3 Where payment is made directly by the customer, you are responsible for remitting applicable commissions to PinaSakay.

5.4 You are responsible for all government taxes and fees arising from your earnings.

5.5 PinaSakay may withhold or deduct amounts in cases of disputes, fraud investigations, refunds, or legal requirements.

6.1 Productivity benefits may be granted at PinaSakay’s sole discretion and may be modified or withdrawn at any time.

6.2 Participation in any rewards program does not create a vested right to future benefits.

7.1 The platform is provided on an “as is” and “as available” basis without warranties of any kind.

7.2 You are solely responsible for the services you provide.

7.3 PinaSakay’s total liability shall not exceed commissions earned in the three (3) months preceding the claim.

8.1 You acknowledge and accept that your work as a Service Provider involves inherent risks, including but not limited to road accidents, property damage, theft, personal injury, and customer disputes.

8.2 PinaSakay does not guarantee continuous, uninterrupted, or error-free operation of the platform, and earnings are not guaranteed.

8.3 By agreeing to these Terms, you assume all risks associated with performing services arranged through PinaSakay and waive any claims against PinaSakay except where prohibited by law.

8.4 You agree to immediately notify PinaSakay of any accidents, injuries, or incidents occurring during service delivery.

9.1 You agree to indemnify, defend, and hold harmless PinaSakay, its officers, employees, and affiliates from any claims, damages, liabilities, losses, or expenses arising from:

• 9.1.1 Your breach of these Terms.
• 9.1.2 Your provision of services.
• 9.1.3 Your violation of any laws or third-party rights.
• 9.1.4 Any accident, injury, or damage caused during service delivery.

10.1 All intellectual property rights in the PinaSakay MegaApp, including trademarks, software, and content, remain the exclusive property of PinaSakay.

10.2 You are granted a limited, non-exclusive, non-transferable license to use the app solely for providing services through the platform.

11.1 PinaSakay may suspend or terminate your account immediately if you:

• 11.1.1 Breach these Terms.
• 11.1.2 Provide false or fraudulent information.
• 11.1.3 Engage in illegal or dangerous conduct.
• 11.1.4 Receive repeated poor ratings or customer complaints.

11.2 Termination does not waive any rights or obligations accrued prior to termination.

12.1 Any dispute between you and PinaSakay will be resolved through good faith negotiation.

12.2 If unresolved, disputes shall be submitted to mediation under the rules of the Philippine Dispute Resolution Center, Inc. (PDRCI).

12.3 If mediation fails, disputes shall be resolved exclusively by the courts of the Philippines.

13.1 These Terms are governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to conflict of law principles.

14.1 If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.

14.2 Failure by PinaSakay to enforce any provision does not constitute a waiver of that provision.

14.3 These Terms constitute the entire agreement between you and PinaSakay regarding your role as a Service Provider.
